Welcome to KorbTech LLC (“KorbTech,” “we,” “our,” “us”). These Terms of Service govern your access to our website, digital products, and professional services. Please read them carefully. By using our site or engaging our services, you agree to these Terms and the policies referenced herein. We request your details only to communicate about projects and do not sell or trade that information.

1. Acceptance of Terms

  • By accessing KorbTech LLC’s website, requesting a proposal, or purchasing services, you agree to be bound by these Terms of Service, our Privacy Policy, and any written agreements or statements of work.
  • If you are using our services on behalf of a company or organization, you represent that you have authority to bind that entity.

2. Services & Statements of Work

  • Project scope, deliverables, timelines, and fees are defined in proposals or statements of work (SOW).
  • Changes requested after signing an SOW may require a change order, revised schedule, and additional fees.
  • We may engage vetted contractors to help fulfill a project while remaining responsible for quality and confidentiality.

3. Client Responsibilities

  • Provide timely feedback, approvals, content, and access to relevant accounts or infrastructure.
  • Ensure submitted materials do not infringe third-party rights or violate applicable laws.
  • Maintain regular backups of your systems and data unless KorbTech LLC is contracted to manage backups as part of the engagement.

4. Fees & Payment

  • Invoices are due upon receipt unless otherwise stated. Past-due balances may incur late fees or work stoppage.
  • Deposits or retainers may be non-refundable once work begins, except where prohibited by law.
  • You are responsible for taxes, payment processing fees, or bank charges beyond the quoted project price.

5. Intellectual Property

  • You retain rights to pre-existing materials provided to KorbTech LLC. Upon full payment, deliverables specifically created for you are assigned to you unless license terms are specified otherwise.
  • We reserve the right to showcase non-confidential work in portfolios and marketing unless the SOW states differently.
  • Third-party software, stock assets, or open-source libraries remain subject to their respective licenses.

6. Acceptable Use

  • You may not use KorbTech LLC products or infrastructure to transmit spam, distribute malware, infringe intellectual property, or violate any laws.
  • We reserve the right to suspend services if we suspect abuse, security threats, or illegal activity.

7. Confidentiality

  • Each party agrees to protect non-public information disclosed during a project and to use it solely for fulfilling the engagement.
  • Inquiry information you share with KorbTech LLC is used only to discuss or deliver services for you; it is never sold or shared for advertising.
  • Confidentiality obligations do not apply to information already public, independently developed, or required to be disclosed by law.

8. Warranties & Disclaimers

  • We warrant that services will be performed in a professional manner consistent with industry standards.
  • EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE OFFERED “AS IS” WITHOUT WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

  • To the fullest extent allowed by law, KorbTech LLC is not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption.
  • Our total liability for any claim is limited to the amounts you paid for the services giving rise to the claim.

10. Termination

  • Either party may terminate an engagement for material breach if not cured within 15 days of written notice.
  • Upon termination, you agree to pay for all work completed and committed expenses. We will deliver in-progress materials in a commercially reasonable format once payment is received.

11. Governing Law

  • These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles. Disputes shall be resolved in state or federal courts located in Iowa, and both parties consent to that jurisdiction.

12. Updates to These Terms

  • We may revise these Terms to reflect operational, legal, or regulatory changes. The updated date indicates the most recent revision. Continued use of our services after changes become effective constitutes acceptance of the revised Terms.
